Welcome to Kompunik. These Terms of Use ("Terms") govern your access to and use of the Kompunik platform, including all courses, content, community features, and related services (collectively, the "Service") provided by Kompunik SAS, a company registered in France with its principal offices in Barbentane ("Kompunik," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility

1.1 Age Requirement

You must be at least sixteen (16) years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.

1.2 Capacity

If you are between sixteen (16) and eighteen (18) years of age, you represent that you have obtained the consent of a parent or legal guardian to use the Service and that your parent or legal guardian has read and agrees to these Terms on your behalf.

1.3 Organization Users

If you are using the Service on behalf of an organization (company, university, or other entity), you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

2.1 Account Creation

To access the Service, you must create an account by providing accurate and complete information, including your name, email address, and a secure password. Alternatively, if your organization has enabled single sign-on (SSO), you may authenticate via Google Workspace or Microsoft Entra ID.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

Choose a strong, unique password
Not share your account credentials with any other person
Notify us immediately at contact@kompunik.org if you become aware of any unauthorized access to your account

2.3 One Account Per Person

Each account is personal and non-transferable. You may not create multiple accounts or allow others to use your account.

3. License Grant

3.1 Limited License

Subject to your compliance with these Terms and payment of applicable fees, Kompunik grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial educational purposes.

3.2 Restrictions

You may not:

Copy, reproduce, distribute, or publicly display any content from the Service
Download, record, or capture audio tracks, video content, or course materials through any means
Modify, adapt, translate, reverse-engineer, or create derivative works from the Service
Use the Service or its content for any commercial purpose without a separate written license from Kompunik
Share your account access with others or allow simultaneous use by multiple individuals
Remove, alter, or obscure any copyright, trademark, or proprietary notices

3.3 License Termination

This license automatically terminates if you violate any provision of these Terms, if your subscription expires, or if your account is terminated for any reason.

4. Subscription Plans and Pricing

Current prices for every plan are published on our pricing page at https://kompunik.org/pricing and are shown again before you confirm any purchase. Prices are not restated in this document, so that what you are quoted is always the current figure rather than one frozen in these Terms.

4.1 Personal Plans

Kompunik offers two personal subscription options: Single Course, giving access to one selected course, and All Courses, giving access to the full course catalogue. Both are twelve (12) month licences for a single named user and may not be shared.

Personal prices are shown inclusive of any applicable VAT or sales tax.

4.2 Enterprise Plans

Enterprise plans are available to companies and professional organizations at tiered per-seat pricing, subject to a minimum seat count published on the pricing page. The rate per seat depends on the total number of seats on the contract, and the applicable tier applies to the entire order.

Enterprise prices are quoted excluding VAT. Businesses in the European Union that supply a valid VAT number are invoiced under the reverse charge mechanism.

4.3 Academic Plans

Academic plans are available to accredited educational institutions at per-student pricing, subject to a minimum student count published on the pricing page. Academic eligibility is determined at Kompunik's sole discretion, and proof of institutional status may be required. Academic plans exclude the manager and analytics features included in Enterprise plans.

4.4 Price Changes

Kompunik reserves the right to modify pricing at any time. Price changes never affect a licence you have already paid for. If automatic renewal is enabled on your licence, you will be notified of the amount before any renewal charge is taken, in the notice described in Section 5.3.

4.5 Purchases Made Through an Affiliate

Some professionals recommend Kompunik and Kernel as affiliates. When you buy after following an affiliate's link or typing their code, Kompunik pays that affiliate a share of the price. Your price is the same with or without a code. What an affiliate can see about you is set out in our Privacy Policy (Section 2.9).

5. Payment Terms

5.1 Twelve-Month Licence

Subscriptions are twelve (12) month licences. Automatic renewal is optional and is switched off by default. If you do not opt in when purchasing, your licence simply ends on its expiry date, no further payment is taken, and you must actively purchase again to continue using the Service.

5.2 If You Opt Into Automatic Renewal

If you choose automatic renewal at checkout, your licence renews for a further twelve (12) months and the then-current price is charged on the renewal date. You may switch automatic renewal off at any time from your billing page or by contacting contact@kompunik.org. Switching it off does not end your current licence: you keep access until the end of the period you have already paid for.

5.3 Notice Before Renewal or Expiry

If automatic renewal is enabled, we email you before the renewal date stating the date and the amount that will be charged, in time for you to switch it off. If automatic renewal is not enabled, we email you before your access ends. This notice is given in accordance with Article L215-1 of the French Consumer Code.

5.4 Payment Processing

For personal subscriptions, our order process is conducted by our online reseller Paddle.com, which acts as Merchant of Record. The purchase contract for a personal subscription is concluded with Paddle, and Paddle's Buyer Terms apply to your order alongside these Terms. Paddle handles billing enquiries and refunds.

Organization contracts (Enterprise and Academic) are invoiced directly by Kompunik SAS and do not involve Paddle.

Kompunik does not store your card or payment details on its servers.

5.5 Currency

Prices are set per market and are charged in the currency shown at checkout, which may be euros or a local currency. The price displayed before you confirm your purchase is the amount that will be charged. Any currency conversion fee applied by your bank or card issuer is your responsibility and outside our control.

5.6 Invoices

For personal subscriptions, your receipt and invoice are issued by Paddle and sent to the email address used at purchase. For organization contracts, invoices are issued by Kompunik SAS and made available to organization administrators in the billing section of the account.

5.7 Refunds

Refunds are governed by our Refund and Cancellation Policy, which forms part of these Terms and includes a fourteen (14) day refund guarantee for personal subscriptions.

6. Course Content

6.1 Content Description

The Service provides educational content focused on soft skills development, including but not limited to video lessons, audio tracks, questionnaires, self-assessments, quizzes, tactics, and community activities.

6.2 Content Changes

Kompunik reserves the right to add, modify, update, or remove course content at any time to improve the educational experience, correct errors, or reflect current best practices. We will endeavor to maintain the overall quality and scope of the courses.

6.3 No Academic Credit

The Service is designed for personal and professional development. Courses and certificates provided through the Service do not confer academic credit, professional certification, or any formal qualification unless explicitly stated in a separate written agreement.

6.4 Certificates

Upon successful completion of all required course components, you may be eligible to receive a certificate of completion. Certificates are subject to the terms outlined in our Honor Code and Copyright Policy.

7. Organization Accounts

7.1 Organization Administrators

Organizations that purchase enterprise or academic plans designate one or more organization administrators ("Org Admins") who manage user access, seat assignments, and account settings on behalf of the organization.

7.2 Seat Management

Organization access is managed through a seat-based system. Org Admins are responsible for assigning and revoking seats within the limits of their contract. When a seat is revoked from a user, the user enters a seven (7) day grace period with read-only access to previously completed content.

7.3 Organization Contracts

Organization plans are governed by the terms of the applicable organization contract, which may include additional provisions regarding usage, data handling, and billing.

7.4 Branding

Organizations may customize certain visual elements of the Service (such as logo and display name) for their users. All customizations are subject to Kompunik's approval and must comply with our Acceptable Use Policy.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at contact@kompunik.org. Upon termination, your access to the Service will cease at the end of your current billing period.

8.2 Termination by Kompunik

We may suspend or terminate your account immediately, without prior notice, if:

You violate these Terms or any other Kompunik policy
You engage in conduct that is harmful to other users, the Service, or Kompunik
You fail to pay any applicable fees
We are required to do so by law

8.3 Effect of Termination

Upon termination:

Your license to use the Service immediately ceases
Your access to course content, progress data, and community features is revoked
Certificates previously issued remain verifiable but may include a notation if the account was terminated for cause
Provisions of these Terms that by their nature should survive termination will continue to apply

9. Disclaimers

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Results

Kompunik does not guarantee that use of the Service will lead to any particular educational outcome, professional advancement, or career benefit. The effectiveness of the learning experience depends on individual effort and engagement.

9.3 Service Availability

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We may perform scheduled or unscheduled maintenance that may temporarily affect availability.

10. Limitation of Liability

10.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KOMPUNIK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

10.2 Maximum Liability

KOMPUNIK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO KOMPUNIK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

10.3 Exceptions

Nothing in these Terms shall exclude or limit liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded or limited under applicable law.

11. Governing Law and Jurisdiction

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Tarascon, France, unless mandatory consumer protection laws provide otherwise.

11.3 Consumer Rights

If you are a consumer resident in the European Union, you retain any mandatory rights granted to you under the consumer protection laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

13. Changes to These Terms

13.1 Notification

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or through a prominent notice within the Service at least thirty (30) days before the changes take effect.

13.2 Continued Use

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, Honor Code, Copyright Policy, and Refund Policy, constitute the entire agreement between you and Kompunik regarding the Service.

14.2 Waiver

The failure of Kompunik to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.3 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Kompunik may assign these Terms without restriction.

14.4 Language

These Terms are drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
